INTRODUCTION

Mr. Bensouda is an expert in investment with more than 20 years of experience in the fields of asset management, venture capital, mergers and acquisitions and restructuring firms operations. Since 2008, Mr. Bensouda held various positions of responsibility within the FinanceCom group. He began his career as an engineer at Westinghouse, where he served as a software engineer and project manager. He holds a degree in computer systems engineering and a master's degree in business (MBA), Specialty Finance and entrepreneurship.

PROFESSIONAL EXPERIENCE

President and CEO - Finatech Group, Casablanca, Morocco 2013 - to date
• Named for the purposes of restructuring and develop Finatech Group, a subsidiary of FinanceCom group specialized in the trades of energy and digital infrastructure.
• Restated Finatech Group doubling turnover, reducing debt, and significantly improving the cash flow and operating margin.
• Deployed an ambitious transformation agenda to develop new growth drivers.

Administrator CEO - FinanceCom International, Paris, France 2008-2012
• Led the creation and the implementation of the platform FinanceCom International, entity that drives the activities of management of assets and financial investment of FinanceCom group globally.
• Developed a single management centre of competence and allocation of assets with several specialised subsidiaries and approved with the AMF and the CSSF.
• Led the development of distribution networks - institutional and CGP - and the launch of innovative products in Europe.

Manager founder partner - Finaventures Advisors, Los Angeles, CA, USA 2001 - 2007
• Co-founder of Finaventures Advisors, investment and consultancy company located in the State of California and specializes in venture capital and the spin-off of technology start-ups.
• Led the fundraising and the establishment of a partnership with the Société d'Investissement TL Ventures to seize the investment opportunities in California.
• Member of the Investment Committee in charge of implementing and monitoring of investment especially in the software sector, the internet, and communications.
• Contributed to the development over 12 companies including 2 were introduced on the stock exchange and 5 were the subject of an industrial sale.

• Led the development efforts and partnership with industrial and financial investors American and European.
• Conducted due diligence operations and strategic studies in the area of financial services and alternative investments.

• Council merger acquisition in terms of purchase and sale of companies with particularly achievement of four operations in technological and industrial sectors.
• Develop synergies and optimize the portfolio of the BMCE Bank Group, created in 1995 by the acquisition of the Bank Marocaine du Commerce extérieur, second largest bank of Morocco.
• Developed internal financial models for the consolidation of risk and active management of the portfolio of participations.

WESTINGHOUSE MOROCCO, Casablanca, Morocco 1993-1995
Project leader
• Conduct of major projects of installation of radar systems new generation multi-site in 2 countries of the Maghreb (Morocco & Tunisia).
• Management of operating budgets of 3 to 5 M$ and management of teams of 12 to 20 in the United States and locally based employees.

WESTINGHOUSE ELECTRONICS SYSTEMS GROUP, Linthicum, MD, USA 1991-1993
Chief Software Engineer;
• Integrated systems of processing of radar data in real-time for control systems developed new generation destined for defence and air traffic.
• Oversaw the phases of study, development, and testing of a new aid to navigation software.
• Contributed to the definition of the technical specifications and testing systems for the integration of the software to the new air traffic control systems developed for the Mexico, the Poland, and the Morocco.
